These Terms & Conditions ("Terms") govern your access to and use of the website, applications, and services provided by Psychera, Inc. ("Psychera," "we," "us," or "our"), available at psychera.ai (collectively, the "Services"). Please read them carefully.
1. Acceptance of terms
By accessing or using the Services, or by clicking to accept these Terms, you agree to be bound by them and by our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Services.
2. The Services
Psychera provides an AI-powered clinical intelligence platform for behavioral health, including ambient clinical documentation, clinical decision support, and related workflow tools. The Services are intended for use by healthcare professionals and organizations. We may modify, add, or discontinue features from time to time.
3. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services. The Services are intended for professional use and are not directed to the general public as consumers.
4. Accounts & responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information, to keep it current, and to notify us promptly of any unauthorized use. We may suspend or terminate accounts that we reasonably believe violate these Terms or pose a security risk.
5. Acceptable use
You agree not to:
- Use the Services in violation of any applicable law or regulation, including healthcare and privacy laws;
- Access or attempt to access accounts, systems, or data you are not authorized to access;
- Interfere with, disrupt, or compromise the integrity or security of the Services;
- Reverse engineer, decompile, or attempt to extract source code, except to the extent permitted by law;
- Upload malicious code or use the Services to transmit unlawful, infringing, or harmful content;
- Resell, sublicense, or provide the Services to third parties except as expressly permitted.
6. SMS messaging program
Psychera offers an SMS messaging program to support use of the Services. By providing your mobile phone number and opting in, you consent to receive text messages from Psychera as described below.
- Program description. Messages may include one-time verification and authentication codes, appointment and visit reminders and confirmations, visit access links, and account or service notifications.
- Consent. You provide consent by opting in — for example, by submitting your mobile number, checking a consent box, or replying to a request to receive messages. Consent to receive messages is not a condition of purchasing any goods or services.
- Message frequency. Message frequency varies depending on your use of the Services.
- Cost. Message and data rates may apply, according to your mobile carrier plan.
- Opt out. You can cancel at any time by replying STOP to any message. After you send STOP, we will send a one-time confirmation and will stop sending messages, other than a final confirmation. To resume, reply START.
- Help. For help, reply HELP to any message or contact us at info@psychera.ai.
- Carriers. Mobile carriers are not liable for delayed or undelivered messages.
No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent are not shared with any third parties. For details on how we handle your information, see our Privacy Policy.
7. Clinical disclaimer
The Services provide clinical documentation and decision-support tools intended to assist qualified healthcare professionals. They do not constitute medical advice, diagnosis, or treatment, and they are not a substitute for the professional judgment of a licensed clinician. Any output generated by the Services, including AI-generated content, must be reviewed and verified by a qualified professional before it is relied upon or entered into a medical record. You are solely responsible for all clinical decisions and for the care of patients.
8. Intellectual property
The Services, including all software, content, and trademarks, are owned by Psychera or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose. All rights not expressly granted are reserved. Data and content you submit remain yours, subject to the licenses needed for us to provide the Services and to any applicable Business Associate Agreement.
9. Third-party services
The Services may integrate with or link to third-party products and services. We are not responsible for third-party services, and your use of them is governed by their own terms and policies.
10. Fees
Where the Services are provided under a paid subscription or order, fees, billing, and payment terms are set out in the applicable order form, agreement, or subscription plan. Unless otherwise stated, fees are non-refundable and exclusive of taxes.
11. Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE OR COMPLETE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PSYCHERA AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
13. Indemnification
You agree to indemnify and hold harmless Psychera and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Services or your breach of these Terms or applicable law.
14. Termination
We may suspend or terminate your access to the Services at any time if you breach these Terms, if required by law, or to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and indemnification.
15. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in Delaware, and you consent to their jurisdiction, except where prohibited by applicable law.
16. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
